Cottco Holdings Limited, a leading player in Zimbabwe’s cotton industry, has announced its intention to voluntarily terminate its listing on the Zimbabwe Stock Exchange (ZSE) following a prolonged suspension of trading in its shares since November 2014. The decision, proposed by the company’s joint Corporate Rescue Practitioners, aims to enable Cottco to focus on restructuring efforts, reduce compliance costs, and address financial and operational challenges without public market pressures.
The Extraordinary General Meeting (EGM) of shareholders, scheduled for 26 November 2026, will consider and vote on the proposed delisting. Key milestones include Cottco’s placement under voluntary corporate rescue on 12 May 2026, and the first meeting of creditors and shareholders on 19 June 2026, which approved restructuring measures, including delisting.
If approved, the delisting is expected to bring benefits such as stabilisation and recovery, reduced compliance costs, operational flexibility, and a focus on urgent recovery actions. Shareholders will continue to hold shares in the unlisted company, with their rights governed by the Articles and the Companies Act. Cottco may apply for a fresh listing in future, subject to ZSE requirements.
Cottco envisages a future focused on stabilisation and sustainable growth, leveraging its strengths in cotton production and processing. The company aims to revitalise operations, strengthen stakeholder relationships, and explore expansion opportunities, positioning itself for a potential return to the ZSE or other strategic growth initiatives, reaffirming its commitment to Zimbabwe’s agricultural sector.
