Amalgamated Brands Limited, one of Zimbabwe’s largest fast-moving consumer goods groups, has issued a prospectus for its initial public offering on the Victoria Falls Stock Exchange, targeting a listing on 7 December 2026 as it seeks hard currency capital to fund its next phase of growth.

The Offer, which opened on 14 October 2026 following publication of the prospectus prepared in compliance with the VFEX Listing Requirements and the Companies and Other Business Entities Act, comprises a fixed price offer of US$0.35 per ordinary share. It is structured as a combined primary and secondary offering, with a base size of US$20 million and provision for oversubscriptions of up to US$9.8 million, taking the maximum offer size to US$29.8 million.
Of the base offer, US$5 million will be raised through an Offer for Subscription of new shares to be issued by the Company, while US$15 million will come from an Offer for Sale of existing shares by the controlling shareholder, Takura. Any oversubscription accepted will be allocated entirely to the secondary component. The structure provides for priority allocation to the primary offer, meaning the first US$5 million in application monies will be applied to fund the Company’s growth programme and listing costs before any proceeds accrue to the selling shareholder. The Offer is not underwritten and is conditional upon a minimum subscription of US$5 million being received. Should this threshold not be met, no allotment will be made and all application monies will be refunded with interest earned. Even after the listing, Takura will remain the controlling shareholder, holding approximately 69.26 percent on the base offer and not less than 55 percent even if the oversubscription facility is fully taken up.
Under the indicative implementation timetable, the prospectus was published and the offer opened on 14 October 2026, with the offer scheduled to close at 12:00 on 3 December 2026. Announcement of results, share allocation and crediting of shares through the Central Securities Depository is expected between 30 November and 4 December, paving the way for listing and commencement of trading on 7 December 2026. The Company has advised that all dates are indicative and subject to change, with any amendments to be announced through the VFEX, and that admission remains subject to satisfaction of the public shareholder spread requirements.
Amalgamated Brands is being offered to the market as a scaled, cash-generative and defensive consumer food and beverages platform, with more than 95 percent of its revenue billed in United States dollars. The Group manufactures everyday brands including Spuds, Willards, Thingz, Sun Jam, Cashel Valley, Charhons and Valley Pride through its principal manufacturing subsidiary Cairns Foods Limited, held via Cairns Holdings Limited. This is complemented by its own logistics and distribution arm, Cailogistics, and its merchandising and route-to-market business, Cailo Marketing Services, a model the Company says gives it direct visibility over shelf execution and pricing.
From the primary proceeds, US$4.48 million has been earmarked for direct investment at Cairns Foods. This will fund a new biscuit line at Ardbennie expected to more than double biscuit capacity, a Tetra Pak plant to produce baked beans under the Valley Pride brand, a new soft-snacks line, and an energy programme comprising new generation capacity and solar installation targeting 22 percent of site energy requirements, with the balance allocated to listing costs.
On the pro forma listing perimeter, which excludes the disposed Lobel’s Holdings business, the Group recorded revenue of US$78.7 million in the financial year to 31 December 2025, representing growth of 33 percent over the prior year. This translated into earnings before interest, tax, depreciation and amortisation of US$10.5 million at a margin of 13.3 percent and profit after tax from continuing operations of US$4.7 million. Net debt stood at approximately US$1.9 million, or about 0.2 times EBITDA, while operating cash flow of US$7.7 million covered capital expenditure of US$6 million and a dividend in the same year. On a statutory basis, including Lobel’s, revenue was US$174.2 million. The Board has indicated its intention to adopt a dividend policy targeting a payout of 30 to 40 percent of profit after tax, balanced against funding requirements for growth.
The rationale for listing on the VFEX rests on access to hard-currency capital against a dollarised balance sheet, lower all-in trading costs of around 2.1 percent compared to about 4.6 percent on the Zimbabwe Stock Exchange, and efficient dividend repatriation for foreign shareholders under the Victoria Falls International Financial Services Centre framework. The listing is also expected to accelerate the Group’s transition to a public company governance posture with an independent-majority board and enhanced disclosure, while providing an orderly platform for any future partial realisation by the controlling shareholder.
