Unifreight Africa Limited to Delist from ZSE and List on VFEX

Unifreight Africa Limited has announced its plans to voluntarily terminate its listing on the Zimbabwe Stock Exchange (ZSE) and subsequently list its shares on the Victoria Falls Stock Exchange (VFEX) by way of introduction. The company’s board believes that a VFEX listing is better suited to its business profile and potential growth, and trading in US dollars could make Unifreight’s value more readily observable to investors.

The proposed transaction is subject to shareholder approval at an Extraordinary General Meeting (EGM) to be held on November 27, 2026, as well as regulatory approvals from the ZSE and VFEX. The board expects the move to improve US dollar price discovery and valuation transparency, enhance access to foreign currency investment, and encourage participation by institutional and individual investors holding free funds.

The VFEX listing is seen as a strategic move to support Unifreight’s growth plans, given the exchange’s focus on attracting foreign currency capital and reducing exchange control impediments for overseas investors. The company has provided shareholders with an abridged circular outlining the proposed transaction, including the notice of EGM and the resolutions to be considered.

Shareholders have been asked to complete and return the form of proxy by November 25, 2026, to participate in the EGM. The resolutions include the delisting from the ZSE, listing on the VFEX, continuation of rights and privileges attached to the company’s securities, and authority for directors to give effect to the resolutions.

The estimated timeline for the proposed transaction includes the last day of trading on the ZSE on December 3, 2026, and the estimated listing date on the VFEX on December 11, 2026.
