OK Zimbabwe Limited has notified shareholders of an Extraordinary General Meeting (EGM) scheduled for Friday, 6 November 2026, at 10:00 hours at the company’s Head Office in Harare, seeking approval for voluntary delisting from the Zimbabwe Stock Exchange (ZSE). The move is part of a corporate rescue plan initiated following the Board of Directors’ resolution on 23 February 2026, to commence corporate rescue proceedings under section 122 of the Insolvency Act [Chapter 6:07].
The Corporate Rescue Practitioner, Mr. Bulisa Mbano of Grant Thornton (Zimbabwe), cited the company’s inability to meet listing requirements, including timely financial reporting and listing fee settlements, as key reasons for the delisting. The move aims to enable OK Zimbabwe Limited to focus on restructuring without public market scrutiny and reduce associated costs.
Shareholders have been requested to submit proxy forms by 4 November 2026, and vote on a Special Resolution to delist shares from the ZSE and an Ordinary Resolution authorizing implementation. The company’s shares have been suspended from ZSE trading since 24 February 2026. If approved, shareholders retained company membership rights but lose regulated market trading access.
The Corporate Rescue Practitioner recommended voting in favor, highlighting benefits including operational flexibility, cost reduction, and focused recovery.
Shareholders were advised to review the circular and seek professional advice if needed.
