
Econet Wireless Zimbabwe Limited (Econet) has announced a voluntary delisting from the Zimbabwe Stock Exchange (ZSE) and a subsequent listing on the Over-The-Counter (OTC) platform operated by the Victoria Falls Stock Exchange (VFEX). The decision follows concerns over the company’s valuation, with Econet citing a persistent discount compared to regional peers. Shareholders who elect not to remain invested in the company will be offered a single, indivisible consideration of US$0.50 per share, comprising a cash component of US$0.17 and a share component of US$0.33, settled through the issuance of one Econet InfraCo share for every Econet share tendered.
The delisting is subject to shareholder approval at an Extraordinary General Meeting (EGM) on February 26, 2026. The Exit Offer is conditional upon the approval and implementation of the voluntary delisting.

Shareholders should review the circular and attend the EGM or submit a proxy form. Certificated shareholders who wish to participate in the Exit Offer must complete and submit a Form of Election.
The company has set timelines for the process to be completed. The Exra-Ordinary General Meeting (EGM) is set for February 26, 2026. The last date to trade cum-dividend is February 11, 2026, while the Ex-Dividend Date is February 12, 2026. The payment date has been set for on or about March 24, 2026.
